Welcome to LeucineOS. These Terms of Use ("Terms") govern your access to and use of the LeucineOS platform, including our AI-powered pharmaceutical manufacturing solutions, websites, and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

• "Account" means the account you create to access the Service.
• "Content" means any data, text, files, documents, graphics, or other materials uploaded, submitted, or created through the Service.
• "Customer Data" means any data, including manufacturing records, quality data, and other information, that you submit to the Service.
• "User" means any individual who accesses or uses the Service under your Account.
• "AI Features" means the artificial intelligence and machine learning capabilities provided through the Service.

2. Account Registration and Security

Account Creation

To use the Service, you must create an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your Account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your Account
• Notify us immediately of any unauthorized use of your Account

Account Requirements

• You must be at least 18 years old to create an Account
• You must have the authority to bind your organization to these Terms
• One person or legal entity may not maintain more than one Account

3. Use of the Service

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with your subscription plan.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Attempt to gain unauthorized access to the Service or its related systems

• Use the Service to compete with LeucineOS or for benchmarking purposes
• Sublicense, sell, resell, transfer, or distribute the Service to third parties
• Use the Service to store or transmit infringing, defamatory, or unlawful content
• Use automated systems or software to extract data from the Service (scraping)

4. AI Features and Generated Content

AI-Powered Features

The Service includes AI Features that provide recommendations, analysis, and automated assistance. You acknowledge and agree that:

• AI-generated outputs are provided as suggestions and should be reviewed by qualified personnel before implementation
• You are responsible for validating AI recommendations against your regulatory requirements and quality standards
• AI Features may not always produce accurate, complete, or appropriate results
• LeucineOS does not guarantee the accuracy or reliability of AI-generated content
• Critical decisions should not be made solely based on AI recommendations without human review

Ownership of AI Outputs

You retain ownership of any Content you create using the AI Features. However, we retain all rights to the underlying AI models, algorithms, and technology used to generate such outputs.

5. Customer Data

Ownership

You retain all rights, title, and interest in and to your Customer Data. LeucineOS does not claim ownership of your Customer Data.

License to Customer Data

You grant LeucineOS a limited license to access, process, and use your Customer Data solely to:

• Provide and improve the Service
• Generate insights and recommendations through our AI Features
• Comply with applicable laws and regulations
• Provide customer support

Data Responsibilities

You are responsible for ensuring that you have all necessary rights and consents to submit Customer Data to the Service, and that your use of the Service complies with all applicable laws and regulations, including pharmaceutical industry regulations.

6. Subscription and Payment

Subscription Plans

The Service is offered through various subscription plans with different features, usage limits, and pricing. Your access to specific features depends on your subscription plan.

Payment Terms

• You agree to pay all fees associated with your subscription plan
• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly set forth in these Terms
• We may change our fees upon 30 days' notice
• You are responsible for all applicable taxes

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your Account settings.

7. Intellectual Property Rights

LeucineOS Property

The Service, including all software, algorithms, AI models, user interfaces, designs, text, graphics, and other content provided by LeucineOS, is owned by LeucineOS and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Remove any proprietary notices from the Service
• Use our trademarks without prior written consent

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

8. Confidentiality

Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes:

• Your Customer Data and manufacturing information
• Our proprietary technology, algorithms, and business information
• Pricing and contract terms
• Any information marked as confidential

9. Warranties and Disclaimers

Limited Warranty

LeucineOS warrants that the Service will perform substantially in accordance with its documentation during the subscription term. Our sole obligation for breach of this warranty is to use commercially reasonable efforts to correct the non-conformity.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT OR RECOMMENDATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEUCINEOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless LeucineOS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any rights of a third party.

12. Term and Termination

Term

These Terms are effective when you create an Account and continue until terminated.

Termination by You

You may terminate your Account at any time by contacting us or through your Account settings. Termination does not entitle you to a refund of any prepaid fees.

Termination by Us

We may terminate or suspend your Account immediately if you:

• Breach any provision of these Terms
• Fail to pay fees when due
• Become subject to bankruptcy or insolvency proceedings
• Use the Service in a manner that poses a security risk

Effect of Termination

Upon termination, your right to use the Service will cease immediately. You may request export of your Customer Data within 30 days of termination. After 30 days, we may delete your Customer Data in accordance with our data retention policies.

13. Regulatory Compliance

The Service is designed to support pharmaceutical manufacturing operations. However:

• You are solely responsible for ensuring your use of the Service complies with applicable regulatory requirements (including FDA, EMA, and other regulatory bodies)
• The Service does not replace professional judgment or regulatory expertise
• You must validate the Service for your intended use in accordance with your quality management system
• AI-generated recommendations should be reviewed and approved by qualified personnel before implementation

14. General Provisions

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in New Jersey.

Modifications

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and LeucineOS regarding the Service.
